General terms of use of the site, related general rules, and legal liabilities

It is recommended to read the User Agreement containing the terms, rules, and legal liabilities specified below before using www.panoramaprofessionals.com (“Site”). The subject of this User Agreement (hereinafter referred to as “Agreement”) is to determine the membership terms for using the website www.panoramaprofessionals.com, its portals, and all services therein (hereinafter referred to as “User” or “Member”). If the terms specified are not suitable for you, please do not use www.panoramaprofessionals.com. By using the site and filling out the form with your personal information, you are deemed to have accepted the terms written on these pages.

The web pages on our site and all related pages are the property of O2O Kozmetik San. ve Tic. A.Ş. (“Company”) at www.panoramaprofessionals.com and are operated by it. When using the services offered on the site, users are subject to the following terms, and by benefiting from and continuing to use the service, you declare that you have the right, authority, and legal capacity to sign a contract according to the laws you are bound by, that you are over 18 years of age, that you have read and understood this Agreement, and that you agree to be bound by the terms of this Agreement.

www.panoramaprofessionals.com is open to all its members. Unless otherwise stated, the services offered on the site are free of charge.

In the following cases, the site management may block the user’s access to the site, and legal rights may be reserved for those who are involved in the following actions:

1.a. Entering false, irregular, incomplete, or misleading information, using expressions that are not in accordance with public morality, or recording information on the site that conflicts with the laws of the Republic of Turkey.

1.b. Unauthorized copying, in whole or in part, of the site content.

1.c. The user is directly responsible for any damages arising from the sharing of user name, password, and other usage rights provided to them or chosen by them with third parties or institutions (from the use of these details by persons other than the user). Similarly, the user cannot use someone else’s IP address, email address, user name, or other personal information on the internet, nor can they access or use other users’ private information without permission. The user is deemed to accept all legal and penal liability that may arise from such use.

1.d. The use of software or activities that threaten the security of the site, that prevent the site and software from functioning, or attempts to do so, as well as the unauthorized access, deletion, or alteration of information.

Liabilities

2.a. The information of users visiting www.panoramaprofessionals.com (duration of the visit, time, viewed pages) is monitored for the purpose of providing better service.

2.b. After completing the necessary sections for registration and confirming their email address, the user may start using the www.panoramaprofessionals.com site by entering their email address and password, provided that they comply with the terms specified in this Agreement.

2.c. The user agrees to comply with the relevant provisions of the Turkish Penal Code, Turkish Commercial Code, Law on Intellectual and Artistic Works, Decrees on the Protection of Trademark and Patent Rights, the Law of Obligations, other related legislation, and any announcements or notifications that www.panoramaprofessionals.com will issue regarding its services while using www.panoramaprofessionals.com and its services. The user is responsible for any legal, criminal, and financial liabilities arising from any violations of these notifications or laws.

2.d. If it is determined that the user has violated their obligations in this Agreement or the general rules stated on the www.panoramaprofessionals.com site, the user’s access to www.panoramaprofessionals.com may be blocked temporarily or permanently, and/or their account may be closed.

2.e. The user cannot engage in actions that prevent or hinder other users or visitors from using www.panoramaprofessionals.com, cannot overload/lock servers or databases by using automatic programs, and cannot attempt fraud. If they do so, they accept that their membership will be terminated and they will be held legally and criminally responsible for any resulting consequences.

2.g. The user cannot remove or alter copyright, trademark, or other notices covered by any laws on intellectual property, whether copied from www.panoramaprofessionals.com or printed out.

2.h. Membership cancellation and account deletion can be done by the user through www.panoramaprofessionals.com. The user's access to the site will be terminated after the membership is canceled. The user accepts that this action is irreversible.

2.j. Relationships between site users and third parties are the sole responsibility of those individuals.

2.m. Specific sections of the site may include separate rules and obligations that apply to those sections. Users and organizations using those sections are deemed to have accepted these rules in advance.

2.n. To learn about the precautions we take to protect our users' personal information and privacy, and for our general policies on this matter, please read the “Privacy Policy” and “Clarification Text.”

2.o. The user agrees and undertakes that the payment information (such as credit card and GSM number) they use in transactions on the site is correct, and they are responsible for any legal and criminal consequences arising from this.

Termination of the Agreement

3.a. This Agreement will remain in effect until the user cancels their membership or the Company cancels the membership. The Company may unilaterally terminate this Agreement by canceling the membership if the user violates any provision of the membership agreement.

3.b. If the Company identifies that the Member or any user has violated the terms of membership, it will notify the Member and request that the violation be remedied. If the Member does not remedy the violation within 24 hours of the Company’s request, the Company may suspend all or part of the Member’s use of the services until the violation is remedied.

3.c. The Company may immediately suspend all or part of the Member's access to the services if it reasonably believes that: (a) the Member’s or any user’s use of the services negatively affects the services or the Company’s network or servers used to provide the services; (b) unauthorized third-party access to the services is suspected; or (c) immediate suspension is required to comply with applicable law. The Company will lift such suspensions once the conditions causing the suspension are remedied. Upon the Member's request, the Company will notify the Member of the reason for the suspension as soon as possible, unless prohibited by applicable law.

Confidential Information

4.a. The Company will not disclose the personal information that users transmit through the site, except for the purposes specified in this Agreement and as required by law. This information includes names, addresses, phone numbers, mobile phone numbers, email addresses, and other information that identifies the user, collectively referred to as "Confidential Information."

4.b. The user agrees and declares that www.panoramaprofessionals.com may use their contact, portfolio, and demographic information for internal evaluations and analyses to improve the quality of the services provided, as limited to fulfilling the obligations under this Agreement.

4.c. Confidential Information may be disclosed to authorized authorities if properly requested by official bodies, as required by mandatory legislation in force.

No Warranty

5.a. TO THE MAXIMUM EXTENT PERMITTED BY LAW, www.panoramaprofessionals.com SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EITHER EXPRESS OR IMPLIED.

5.b. www.panoramaprofessionals.com does not warrant the accuracy, completeness, or reliability of the site’s content. The Company is not responsible for issues or delays encountered by users while using the site.

Registration and Security

6.a. The user is required to provide accurate, complete, and up-to-date registration information. Otherwise, this Agreement will be deemed violated, and the account may be closed without notice.

6.b. The user is responsible for the security of passwords and accounts used on the site and third-party sites. Otherwise, the Company cannot be held responsible for data loss or security breaches.

Force Majeure

7.a. Neither party will be held liable for any failure to perform its obligations due to natural disasters, fires, explosions, wars, civil unrest, public movements, mobilizations, strikes, lockouts, infrastructure and internet failures, system development processes, and other causes beyond their control. The obligations of the parties will be suspended during this period.

Termination of the Agreement

8.a. This Agreement will remain in force as long as the user is a member of the site and will be terminated according to the conditions set by the parties. If users violate this Agreement, www.panoramaprofessionals.com may terminate the user account and unilaterally terminate the Agreement.

Applicable Law and Jurisdiction

9.a. Turkish law will apply to any disputes arising from this Agreement, and the courts and enforcement offices of Istanbul will have jurisdiction.

Enforcement

10.a. By registering for membership, the user is deemed to have read and accepted all the provisions of this Agreement. This Agreement is deemed to have been entered into and mutually effective upon the user’s registration for membership.
